1. Definitions

• "Agreement" means these Terms and Conditions together with any written service proposal accepted by both parties.
• "Service" means any AI services engagement described in a written proposal issued by Cipherbloom.
• "We / Us / Our" refers to Cipherbloom, based at 5 Lorong Dungun, Damansara Heights, 50490 Kuala Lumpur.
• "You / Client" refers to the individual or organisation using this website or engaging our services.
• "Deliverable" means any system, document, model, or material produced under a service engagement.
• "Confidential Information" means any non-public information exchanged in connection with an engagement.

2. Acceptance of Terms

By accessing this website or signing a service proposal, you confirm that you are at least 18 years of age, have the authority to enter into a binding agreement on behalf of your organisation where applicable, and accept these Terms in full. If you do not accept these Terms, please do not use this website or engage our services.

3. Service Description and Availability

Cipherbloom provides AI services in Malaysia comprising AI-powered quality assurance systems, knowledge graph construction, and AI training and enablement programmes. Services are provided to organisations and individuals in Malaysia. Engagement outside Malaysia is considered on a case-by-case basis. Website availability is provided on a reasonable efforts basis and may be interrupted for maintenance without notice.

4. Service Proposals and Scope

All services are governed by a written proposal issued by Cipherbloom and accepted by the client. The proposal defines the scope, deliverables, timeline, and fixed price. Work beyond the agreed scope requires a written variation agreed by both parties before commencement. Verbal or email scope changes do not constitute binding modifications to the proposal unless confirmed in a written amendment.

5. User Responsibilities

You agree to:

• Provide accurate and complete information as reasonably required for service delivery
• Use this website and any deliverables only for lawful purposes
• Not attempt to reverse-engineer, copy, or redistribute Cipherbloom's methodologies without written consent
• Not use our website or services in any manner that could harm, disrupt, or interfere with our systems or those of third parties
• Ensure your personnel who interact with Cipherbloom during an engagement do so in a professional and constructive manner

6. Intellectual Property

All content on this website — including text, graphics, and design — is the property of Cipherbloom and may not be reproduced without written permission. Upon full payment for a service engagement, Cipherbloom grants the client a non-exclusive, non-transferable licence to use the deliverables for their internal business purposes. Cipherbloom retains ownership of its general methodologies, frameworks, and pre-existing intellectual property used in delivery.

7. Payment Terms

Prices are stated in Malaysian Ringgit (MYR) and are fixed as set out in the written proposal. Payment terms are specified in the proposal (typically 50% on engagement commencement and 50% on delivery). Late payments may accrue interest at the rate stipulated in the proposal or, where not stated, at the rate applicable under Malaysian law. Withholding payment for disputed items must be communicated in writing within 14 days of the invoice date.

8. Confidentiality

Both parties agree to keep Confidential Information received from the other party confidential and not to disclose it to third parties without prior written consent, except where required by law or a competent authority. This obligation survives termination of the engagement for a period of three years. Each engagement includes a mutual non-disclosure agreement as part of the project documentation.

9. Disclaimers

This website and its content are provided "as is". We make no representations about the completeness, accuracy, or suitability of information on this site for any particular purpose. AI systems and models carry inherent limitations and uncertainty; we do not warrant that any deliverable will be error-free or suitable for every use case. Results from AI engagements depend in part on data quality, environmental conditions, and client-side implementation — factors outside our control.

10. Limitation of Liability

To the extent permitted by Malaysian law, Cipherbloom's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for that specific engagement. We shall not be liable for indirect, consequential, or special damages including loss of profit, data loss, or business interruption, whether arising in contract, tort, or otherwise. Nothing in these Terms limits liability for fraud or death or personal injury caused by our negligence.

11. Termination

Either party may terminate an engagement with 14 days' written notice if the other party materially breaches the agreement and fails to remedy the breach within that notice period. In the event of termination, the client shall pay for all work completed up to the termination date. Cipherbloom may suspend website access or refuse service where a user has violated these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. The parties will first attempt to resolve any dispute informally. If informal resolution is not achieved within 30 days, the dispute shall be referred to the courts of Kuala Lumpur, Malaysia, whose jurisdiction both parties accept. Cipherbloom may seek injunctive relief in any court of competent jurisdiction for breach of confidentiality or intellectual property obligations.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted to this page with a revised effective date. Continued use of the website or services after the effective date constitutes acceptance of the updated Terms. For active service engagements, changes to Terms do not affect the proposal already accepted by both parties unless agreed in writing.
